1. Agreement and operator

These Terms & Conditions (“Terms”) are an agreement between you and BetterNest Solutions Pvt. Ltd. (“BetterNest”, “SmarAi”, “we”, “us” or “our”) governing the SmarAi mobile application, website and related services (together, the “Service”).

By creating an account, accepting these Terms or using the Service, you confirm that you have read and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Definitions

• User Content: documents, images, text, voice inputs, memories, reminders and other material you submit.
• AI Features: extraction, important points, categorisation, Ask SmarAi and related machine-generated output.
• Derived Information: summaries, fields, categories, dates, relationships and other information generated from User Content.
• Membership: a Free or paid plan that controls available features, storage and usage limits.

3. Eligibility

You must be legally capable of entering into these Terms. SmarAi is not intended for children under 13. If local law requires parental or guardian consent for you to use an online service, you may use SmarAi only after obtaining that consent.

4. Account registration and security

• Provide accurate and current registration information.
• Use one account for yourself and do not impersonate another person.
• Protect your password, verification codes, recovery information and device.
• Notify us promptly if you suspect unauthorised access.
• You are responsible for activity performed through your account unless applicable law provides otherwise.

We may require email verification, rotate or revoke sessions, impose rate limits and take other reasonable steps to protect accounts and the Service.

5. What SmarAi provides

SmarAi helps you capture, organise, search and retrieve information you choose to save. Supported features may include document and image capture, text and voice input, AI extraction, highlighted points, Life Objects, timelines, spending summaries, reminders, notifications and account management.

Features, supported formats, limits and availability may vary by platform, app version, plan, location and configuration. SmarAi is a personal organisation tool, not a certified record-keeping, emergency alert or professional advisory service.

6. Your content and ownership

You retain ownership of your User Content. You grant BetterNest a limited, non-exclusive, worldwide licence to host, copy, decrypt, transmit, process, format and display User Content only as reasonably needed to provide, secure and improve the Service and fulfil your requests. SmarAi uses layered encryption and access controls; selected content may be securely processed by our backend and relevant service providers only as needed for features you request. This licence ends when the content is deleted, subject to limited backup, security and legal retention described in the Privacy Policy.

You represent that you own or have the necessary permission to upload and process User Content, including personal information relating to another person. You remain responsible for the legality, accuracy and appropriateness of your content.

If you use secure sharing, you choose the intended recipient, information scope, expiry and document permissions. Share links and access codes are confidential. You must not disclose information you are not authorised to disclose. You may revoke an active share, but SmarAi cannot prevent an authorised recipient from remembering, photographing or independently recording information already viewed.

7. AI features and important limitations

AI Features generate probabilistic output and can misunderstand a source, omit information or provide an incorrect date, amount, name, category or answer. You must review generated information against the original source before relying on it.

When you request an AI Feature, relevant User Content may be processed by the third-party AI provider identified in our Privacy Policy.

8. Reminders and notifications

Reminders and notifications are convenience features. Delivery may be delayed or prevented by connectivity, incorrect source data, timezone settings, device permissions, battery optimisation, Focus/Do Not Disturb settings, operating-system restrictions or third-party service failure. You remain responsible for monitoring payments, renewals, warranty periods, policies, appointments, medicines and other deadlines.

9. Free allowance and paid Memberships

• Plan features, usage limits, price, billing period and access dates are displayed in the app.
• The Free allowance may be lifetime or monthly according to the active plan configuration shown in the app.
• If a one-time Free allowance is exhausted, deleting and recreating an account does not restore it.
• Paid Membership currently uses prepaid manual renewal unless checkout explicitly states otherwise.
• A purchase made before current paid access expires may be scheduled to begin after the existing period ends.
• When paid access expires, the account returns to the then-current Free plan unless another paid period is scheduled.

10. Payments, taxes and refunds

Payments are processed through the provider shown at checkout, currently Razorpay where available. You authorise the provider to process the selected amount and share transaction status with SmarAi. Prices may include or exclude applicable taxes as displayed.

Except where applicable law requires otherwise or the checkout terms expressly provide a refund, completed digital-service purchases are non-refundable once the paid access period has begun. Duplicate, failed or incorrectly charged transactions may be raised with support.smarai@betternest.tech with the payment reference.

11. Acceptable use

You must not:

• Use SmarAi unlawfully or violate another person’s privacy or intellectual-property rights.
• Upload malware, abusive, exploitative or otherwise prohibited material.
• Access or attempt to access another user’s account, records or credentials.
• Probe, disrupt, overload, reverse engineer or bypass security, limits or payment controls except where law expressly permits.
• Use automated means to scrape the Service or create excessive traffic.
• Misrepresent AI output as verified professional advice or use the Service to cause harm.

12. Intellectual property

BetterNest and its licensors own the Service, software, design, branding and documentation, excluding your User Content. We grant you a limited, revocable, non-transferable right to use SmarAi for its intended personal purpose during the term of these Terms.

If you send feedback, you allow us to use it without restriction or payment, provided we do not identify you publicly without permission.

13. Third-party services

The Service depends on cloud, AI, notification, analytics, email, payment and app-store providers. Their own terms and privacy practices may apply to their services. BetterNest is not responsible for a third-party service outside our reasonable control, but we select and configure providers to support SmarAi’s operation and security.

14. Changes, maintenance and availability

We may add, modify, suspend or discontinue features; perform maintenance; change limits; or update plan availability. We will provide reasonable notice where a material change adversely affects active paid access and notice is practical. We do not guarantee uninterrupted, error-free or permanently available operation.

15. Suspension and termination

You may stop using SmarAi or delete your account through supported app controls. We may restrict or terminate access when reasonably necessary to prevent harm, investigate abuse, comply with law, address non-payment or enforce these Terms. Where appropriate, we will provide notice and an opportunity to contact support.

16. Account deletion and retained records

Account deletion removes supported active-account data as described in the Privacy Policy. Limited payment, fraud-prevention, legal or backup records may remain for their applicable retention period. A protected one-way eligibility marker may remain after an exhausted one-time Free allowance; it does not include your memories, documents or profile. 17. Disclaimers

To the maximum extent permitted by law, the Service is provided on an “as available” basis. We do not warrant that AI output, extracted data, reminders or notifications will always be accurate, complete, timely or suitable for a particular purpose. Statutory rights that cannot be excluded remain unaffected.

18. Limitation of liability

To the extent permitted by law, BetterNest will not be liable for indirect, incidental, special or consequential loss arising from use of or inability to use the Service, reliance on AI output, missed notifications, loss caused by inaccurate source data, or third-party service interruption. Nothing excludes liability that applicable law does not allow us to limit.

19. Indemnity

To the extent permitted by law, you agree to be responsible for claims arising from your unlawful use of the Service, violation of these Terms, or infringement of another person’s rights through User Content you submit.

20. Governing law and disputes

These Terms are governed by the laws of India. The parties should first attempt to resolve a concern through support. Subject to mandatory consumer rights and applicable law, disputes will be handled by courts of competent jurisdiction in India.

21. Changes to these Terms

We may update these Terms as the Service or law changes. We will revise the effective date and provide additional notice for material changes where appropriate. Continued use after the updated Terms become effective constitutes acceptance, except where law requires fresh consent.

22. General provisions

If part of these Terms is unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver. You may not transfer your account or these Terms without our permission. These Terms and the Privacy Policy form the agreement relating to your use of SmarAi.
